Terms of Use

These Terms of Use ("Terms") govern your access to and use of candy.tv (the "Site") and any related services (collectively, the "Services") provided by the owner of the Candy.TV domain ("we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility

The Site is intended for users who are at least 18 years old and legally capable of entering into binding contracts under the laws of their jurisdiction. By using the Site, you represent and warrant that you meet these requirements.

2. Nature of the Site

The Site is a private acquisition page for the Candy.TV domain. It facilitates communication between potential buyers and the seller. The submission of an offer through the Site does not constitute a contract for the sale of the domain. No binding agreement exists until both parties have executed a written purchase agreement and funds have been received in escrow.

3. Offer Submissions

If you submit an offer through the Site, you agree that:

• The information you provide is accurate, complete, and current to the best of your knowledge.
• You have the authority to make the offer on behalf of yourself or any organization you represent.
• The seller may, at sole discretion, accept, decline, ignore, or counter your offer.
• The seller is not obligated to provide a reason for declining any offer.
• Submission of an offer does not create any priority, exclusivity, or other right with respect to the domain.

4. Domain Transfer

If your offer is accepted and a transaction proceeds, the domain will be transferred only after funds have been confirmed received in a third-party escrow service (such as Escrow.com). The buyer is responsible for escrow fees unless otherwise agreed in writing. Risk of loss passes to the buyer upon successful registrar transfer.

5. Acceptable Use

You agree not to use the Site to:

• Submit false, misleading, or fraudulent information.
• Harass, threaten, or impersonate any person or entity.
• Interfere with or disrupt the Site, its servers, or related systems.
• Attempt to gain unauthorized access to any portion of the Site or its data.
• Use automated tools (bots, scrapers, etc.) to access the Site, except for legitimate search engine indexing.
• Violate any applicable law or regulation.

6. Intellectual Property

All content on the Site — including text, graphics, logos, images, source code, and the overall design — is the property of the Site owner or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any portion of the Site without our prior written permission, except for personal, non-commercial review.

7. Third-Party Services

The Site uses third-party services (including but not limited to Web3Forms for offer submissions, Google Fonts for typography, and Cloudflare for hosting and security). Your use of any third-party service may be subject to that party's own terms and privacy policies. We are not responsible for the practices of third parties.

8. Disclaimers

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, secure, or error-free.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Our total cumulative liability arising from or related to the Site is limited to one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless the Site owner and its affiliates, officers, employees, and agents from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising from or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

11. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising from or related to these Terms or the Site will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

12. Dispute Resolution

Before filing any legal action, the parties agree to make a good-faith attempt to resolve any dispute through written notice and informal negotiation for a period of at least thirty (30) days. If the dispute is not resolved through informal negotiation, either party may pursue available legal remedies in accordance with Section 11.

13. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects any change. Continued use of the Site following posted changes constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and us with respect to the Site, and supersede all prior or contemporaneous understandings and agreements.
